Terms and Conditions
Definition
The following terms and conditions constitute the entire agreement between you (the Hirer) and Impala Hire (The Owner) under the corporate name of Impala (UK) Limited.
"The Hirer" or "Customer" means individual, corporate body, firm or other body that hires equipment.
"Equipment" means the equipment we hire in accordance with these terms.
"Terms" means the terms set out in this document and includes any special terms agreed in writing and will attach to all transactions between the Hirer and the Owner.
"Contract" or "Hire Agreement" means the contract for the hire of equipment between The Hirer and The Owner and takes the form of a signed Quotation/Booking Form, either via fax or as an original document, for a specified period of time.
"Writing" means email, fax and paper communication e.g. postal).
Hire Period
The minimum Hire period for any Contract will be for one day.
The maximum Hire period for any Contract will be no more than 2 months. Longer Hire periods will require a new Contract.
The Hire period shall be as stated on the Contract. If an extension is required, it shall be agreed in writing.
Days are taken as 9 hours each (09h00 - 17h00), Weeks as 5 working days (Monday to Friday) and Months as one calendar month.
Failure by the Hirer to return equipment will incur charges calculated at daily rates from the end of the agreed Contract date until resolved.
Payments
Hire prices are subject to change without notice.
Contracts will commence and end on the dates agreed.
VAT, Deposits, Delivery, Collection and copy count charges are excluded, unless otherwise agreed in writing, and will be reflected in the quotation or Contract.
Rates are reflected as daily, weekly and monthly rates.
For non account holders, payment must be cleared before equipment is delivered. This includes VAT, Deposits, Delivery and Collection charges.
Credit will only be given when a Credit Account has been opened and checks have been made.
Account holders agree to pay hire charges to Impala Hire within the agreed period of 30 days.
No payment is deemed to be made until it has been received in the Owners bank account.
Cancellations can only be accepted in writing and only up to 48 hours before the Contract start date.
Additional Costs
Deposits are in accordance to the Owners standard scale of charges.
Deposits will be refunded if equipment is not lost or damaged.
Delivery and Collection
Delivery and collection takes place Monday to Friday between 08h30 and 18h00 unless otherwise agreed.
Delivery and collection charges will be reflected on Quotation and/or Contract in accordance to the Owners standard scale of charges.
Orders
Valid orders will be in the form of a signed Quotation/Booking Form, sent via fax or received as an original document.
Extensions to the hiring duration will only be valid in the form of a signed Booking Extension Form, sent via fax or received as an original document.
Impala Hire will only accept orders from companies, i.e. Public Limited or Limited companies, Partnerships and Sole Traders. Checks will be made in all instances.
Insurance
The Hirer is responsible for insuring the Equipment for the duration of the hire and will be responsible for replacing any damaged, lost or stolen items.
Deposits paid are not refunded if Equipment is lost or damaged.
Acceptance
The Hirer will sign a delivery note to indicate receipt and acceptance that equipment is in good condition.
The Hirer agrees to keep Equipment safe, free from loss or damage and not misuse, repair or modify said Equipment.
The Hirer is satisfied with any instruction provided by Impala Hire or is familiar with the equipment's safe and proper use.
The Hirer will, in its use of the Equipment, observe all the manufacturers instructions and other regulations that may be issued for the proper use thereof. The Hirer will take steps to ensure that the Equipment conforms with the terms and conditions laid down by the Health and Safety at Work Act.#
On collection, equipment will be inspected and the Hirer will sign a collection note to confirm that the equipment is in the same condition as at delivery.
Equipment
The Hirer agrees to use equipment solely for the purpose it was manufactured and intended for.
Equipment will be used at the delivery address, unless otherwise agreed in writing.
The Hirer shall not sublease the equipment.
The Owner has the right to substitute equipment with an alternative, which is equal to or better than in the original quote.
Equipment is and shall remain the properly of the Owner. The Hirer has no purchase rights or options, unless agreed in writing.
The Hirer will inform the Owner immediately of any loss or damage to equipment.
In the event of equipment failure during a contract, the Hirer should notify the Owner as soon as possible.The Owner will make every endeavor to replace faulty equipment with the same or equivalent, within as short a time as possible, and at no extra cost to the Hirer. This includes Lamps for Projectors and Cartridges for Printers.
Identification marks (Nameplates, Serial numbers, Asset Numbers) on Equipment shall be preserved and not be damaged, changed or removed.
Software
Software associated with equipment is for use only on that specific equipment and only for the Contract period.
Software and User Licenses associated with equipment belongs to the Owners and shall not be duplicated or copied by any party.
Liability
The Owner warrants that the Hired Equipment is in good working order, and accepts no liability for any damage, loss or injury from any claim or proceedings arising from the Hire Agreement, other than where death or personal injury arises from the Owners negligence.
The Owner shall not be liable to the Hirer for any delays in availability or delivery of Equipment due to unforeseen circumstances, or due to causes beyond its control including, but not limited to acts of nature, acts of government, labour disputes and delays in transport.
Governing Law
The Contract shall be governed by the laws of England.
Any dispute arising under or in connection with these Terms or the hire of Equipment shall be subject to the Jurisdiction of the English Courts.
